Dated: 16th June 2025 NOTICE OF EXTRAORDINARY GENERAL MEETING (EOGM) Notice is hereby given that the Extraordinary General Meeting (EOGM) of the Pakistan Hosiery Manufacturers & Exporters Association (PHMA), as per applicable provisions of the Companies Act 2017 and enabling provisions of the Trade Organizations Act & Rules 2013, is scheduled to be held on Wednesday, 9th July 2025 at 03:30pm in person at PHMA Central Office, 37-H, Block-6, PECHS, Karachi as well as PHMA Zonal/Regional Offices at Karachi, Lahore, Faisalabad and Sialkot thereby virtually connecting PHMA Central Office presiding over, with other Association’s Offices via video-link/zoom-link to consider and transact the special business, inter alia, detailed under agenda, by the Orders of the General Body given in AGM held on 26th September 2024 and the Directives by the Honourable Regulator (TOs), Directorate General of Trade Organizations (DGTO) vide Order No. F.No.17(31)/2008-Adm dated 2nd May 2025 & F.No.18(93)/2008-TO dated 28th May 2025 for compliance and report back in 60-days/11th July 2025, in accordance with the Trade Organization Act & Rules 2013 and SRO-525(I)/2016 dated 01-06-2016, accordingly. (1) To consider and confirm amendments in the Memorandum & Articles of Association (M&AOA) of Pakistan Hosiery Manufacturers & Exporters Association (PHMA), as per Directives by the Honourable Regulator (TOs), Directorate General of Trade Organizations (DGTO) vide Order No. F.No.17(31)/2008-Adm dated 2nd May 2025 & F.No.18(93)/2008-TO dated 28th May 2025 for compliance and report back to DGTO in 60-days/11th July 2025, in accordance with the Trade Organization Act & Rules 2013 and approved statutory template issued vide SRO-525(I)/2016 dated 01-06-2016, by means of passing unanimous special resolution. (2) To consider amendments in the Memorandum & Articles of Association (M&AOA) of Pakistan Hosiery Manufacturers & Exporters Association (PHMA), as decided and resolved by the General Body in AGM held on 26th September 2024, by means of passing unanimous special resolutions, for amendments as per law, as follows: (i) to amend/improve the Memorandum of Association & relevant Articles thereof to achieve the broader objectives of Association; (ii) to incorporate the Amendments/ new provisions of law passed in the Companies Act 2017 (Act No. XIX of 2017), amend sections thereof as per law, u/s 41 & 42, First Schedule, Table C; (iii) to amend/improve the Articles of Associations in accordance with the resolutions passed by the General Body to amend the Powers of Executive & Zonal Committees for strict compliance of applicable laws. (iv) to notify the revised Admission & Membership/ Subscription/ Renewal Fee with subsequent approval by the Honourable Regulator (TO) in accordance with SRO-525(I)/2016 dated 01-06-2016; (v) to incorporate the Amendments passed in Trade Organizations (Amendment) Act 2022 (Act No. XXVII of 2022) and revised notified Rules SRO 1057(I)/2023 dated 8th August 2023 & SRO 1794(I)/2023 dated 13th December 2023 and DGTO Office Order dated 27th June 2024; (vi) to incorporate the Amendments/ new provisions of law passed to further amend the Trade Organization Act 2013 [Trade Organizations (Amendment) Act 2025 - Act No. IV of 2025] dated 20th February 2025 & [Trade Organizations (Second Amendment) Bill 2025] passed by National Assembly on 16th May 2025. (3) Any other matter/ special business under explicit permission of competent authority. Notes and material facts as per law as well as Trade Organization Act & Rules, Companies Act, DGTO SROs and necessary documents annexed to this notice of EOGM and are being circulated to all members of Association.
